Terms of Service

These Terms of Service ("Terms") form a binding agreement between PIXEL ONLINE ("we", "us", "our") and you ("you", "your") governing your use of SimilarClip at https://similarclip.com (the "Service"). By creating an account or using the Service, you agree to these Terms.
If you are a consumer, nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law (ACL) that cannot lawfully be excluded.
1. The Service
SimilarClip uses AI to help you create videos: you provide a YouTube link or a topic, and the Service generates a script, images, voice narration, and a finished video, and can publish it to your YouTube channel on a schedule you configure. Features may change over time; we may add, modify or discontinue features with reasonable notice where practicable.
2. Accounts and eligibility
- You must be at least 16 years old and capable of forming a binding contract to use the Service.
- You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
- You may sign in with email and password or with Google. Connecting a YouTube channel grants us OAuth access so we can upload videos and (optionally) post a first comment on your behalf, at your direction.
- We may suspend or disable accounts that breach these Terms, are used fraudulently, or pose a security or legal risk.
3. Plans, credits and billing
3.1 Subscriptions
The Service is offered under paid subscription plans (for example Starter, Pro and Studio), billed in advance in USD via Stripe. Each plan includes a monthly AI-usage credit allowance and a limit on connected YouTube channels, as described on the pricing page at the time of purchase.
3.2 Credits
- AI generation is metered in credits. Usage is charged against your credit balance at the actual cost of the underlying AI processing.
- Plan credits expire at the end of each billing period and do not roll over.
- Top-up credits (purchased separately, minimum purchase applies, and may include a service surcharge disclosed at checkout) do not expire.
- Credits have no cash value, are not refundable except as required by law, and are not transferable.
3.3 Renewals and cancellation
Subscriptions renew automatically each billing period until cancelled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current paid period, and you keep access until then. We do not provide pro-rata refunds for partial periods, except where required by law.
3.4 Price changes
We may change prices or plan inclusions with at least 30 days' notice before your next renewal. If you do not agree, you may cancel before the change takes effect.
3.5 Refunds
If the Service has a major failure within the meaning of the ACL, you are entitled to a refund or other remedy under the ACL. For other refund requests, contact [email protected] — we consider them in good faith but are not obliged to refund change-of-mind purchases of delivered digital services.
4. Your content and licence to us
- You retain all rights you hold in the inputs you submit (links, prompts, topics, instructions).
- You grant us a non-exclusive, worldwide licence to host, process, transmit and store your inputs and generated assets solely to operate and provide the Service to you (including running generation jobs, storing outputs, and publishing to YouTube at your direction).
- Deleting a job deletes its generated assets from our storage. Closing your account deletes associated content, subject to records we must keep by law.
5. AI-generated content
- Videos, scripts, images and audio are generated by third-party AI models. Output may be inaccurate, unoriginal, or similar to content generated for other users. You are responsible for reviewing output before publishing it.
- Subject to your payment of applicable fees and compliance with these Terms, we assign to you whatever rights we may hold in the output generated specifically for your jobs, to the extent permitted by law. Note that AI-generated material may not be protectable by copyright in some jurisdictions, and we cannot guarantee exclusivity or ownership against third parties.
- You must comply with the terms of the underlying platforms and AI providers as they apply to your use.
6. Your responsibilities and acceptable use
You agree that you will:
- Only submit source material (including YouTube videos) that you own, have licensed, or are otherwise legally entitled to use and transform. The Service does not verify your rights; you are solely responsible for them.
- Comply with YouTube's Terms of Service, Community Guidelines, and monetisation and AI-disclosure policies for anything published through the Service.
- Not use the Service to create or distribute content that is unlawful, defamatory, deceptive, infringing, hateful, sexually explicit involving or targeting minors, or that violates any person's privacy or publicity rights.
- Not use the Service to mislead others (including undisclosed deepfakes of real people or disinformation), to spam, or to evade platform enforcement.
- Not reverse-engineer the Service, probe or disrupt its infrastructure, exceed or circumvent credit limits, or resell access without our written consent.
- Not submit personal information about third parties without a lawful basis.
We may remove content, refuse to process jobs, or suspend accounts for breach of this section.
7. YouTube and Google API terms
The Service uses YouTube API Services. By connecting a YouTube channel you also agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy. You can revoke the Service's access to your Google account at any time via the Service settings or Google's security settings.
8. Intellectual property
The Service itself — its software, design, branding, and documentation — is owned by or licensed to us and protected by intellectual property laws. These Terms do not transfer any of those rights to you, except the limited right to use the Service as intended.
9. Disclaimers
Except as provided by the ACL and other non-excludable laws:
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate, lawful for your purposes, or achieve any audience, ranking or monetisation outcome on YouTube.
- We are not responsible for actions taken by third-party platforms (including YouTube) such as video removal, strikes, demonetisation, or channel suspension.
10. Limitation of liability
To the maximum extent permitted by law:
- Our aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim.
- We are not liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, data, goodwill or business opportunity.
- Nothing in this section limits liability that cannot be limited by law, including under the ACL. Where the ACL applies and permits limitation, our liability for services not of a kind ordinarily acquired for personal, domestic or household use is limited, at our option, to resupplying the services or paying the cost of resupply.
11. Indemnity
You indemnify us against claims, losses, damages and expenses (including reasonable legal fees) arising from: (a) content you submit or publish through the Service, including claims that it infringes third-party rights; (b) your breach of these Terms; or (c) your violation of any law or third-party platform terms.
12. Termination
- You may stop using the Service and request account deletion at any time via [email protected].
- We may suspend or terminate access immediately for material breach, fraud, unlawful use, or risk to the Service or others, and otherwise with reasonable notice.
- On termination: your right to use the Service ends; unused plan credits lapse; unused top-up credits for an account terminated by us without cause will be refunded at our discretion; and we may delete your content after a reasonable period, except records we must retain by law.
13. General
- Governing law: These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of Australian courts. If you are a consumer, you retain the protection of mandatory consumer laws of your place of residence.
- Changes: We may update these Terms with notice posted on the Service (and, for material changes, reasonable advance notice). Continued use after the effective date constitutes acceptance.
- Entire agreement: These Terms, together with the Privacy Policy and plan terms shown at purchase, are the entire agreement between us regarding the Service.
- Severability: If any provision is unenforceable, the remainder continues in effect.
- No waiver: A failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
